These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Vixilead. We reserve the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the modified Terms.

3. Services Description
Vixilead provides comprehensive AI-powered B2B lead generation and digital marketing services, including but not limited to:
- AI-Powered Lead Generation: Automated prospect identification, lead scoring, and qualification using machine learning algorithms
- Digital Marketing Services: Website development, email marketing automation, content creation, SEO optimization, and social media management
- Marketing Automation: CRM integration, campaign management, and performance analytics
- Business Intelligence: Data analysis, reporting, and conversion optimization
- Consulting Services: Strategy development, market analysis, and digital transformation consulting
Specific service details, deliverables, timelines, and pricing are outlined in separate Service Agreements or Statements of Work executed between the parties.
4. Eligibility and User Accounts
4.1 Age and Authority
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4.2 Account Registration
Access to certain Services may require you to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.
5. Intellectual Property Rights
5.1 Vixilead Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software code, AI algorithms, machine learning models, and proprietary methodologies, are owned by Vixilead and are protected by international copyright, trademark, patent, and other intellectual property laws.
Our trademarks, service marks, and logos ("Marks") may not be used without our prior written consent. Nothing in these Terms grants you any right to use our Marks.
5.2 Client Content
You retain all ownership rights to content you provide to us ("Client Content"). By providing Client Content, you grant Vixilead a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing Services to you.
5.3 Work Product
Unless otherwise specified in a separate written agreement, all deliverables, reports, creative materials, and work product created specifically for you as part of our Services shall be owned by you upon full payment of all applicable fees.
However, Vixilead retains all rights to:
- Pre-existing intellectual property and proprietary methodologies
- AI algorithms and machine learning models
- General knowledge, skills, and experience gained through providing Services
- Anonymized and aggregated data derived from service provision
6. Prohibited Uses and User Conduct
You agree not to use our Services to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others
- Transmit any unsolicited or unauthorized advertising, spam, or promotional materials
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services
- Attempt to gain unauthorized access to any portion of our Services, other users' accounts, or any systems or networks connected to our Services
- Upload, transmit, or distribute any viruses, malware, or other malicious code
- Engage in any automated data collection, scraping, or harvesting without our express written consent
- Reverse engineer, decompile, or disassemble any portion of our Services
- Use our Services for any illegal, fraudulent, or harmful purpose
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
IMPORTANT: Violation of these prohibitions may result in immediate termination of your access to our Services and may subject you to civil and criminal liability.
7. Privacy and Data Protection
7.1 Privacy Policy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in our Privacy Policy.
7.2 Data Protection Compliance
Vixilead complies with applicable data protection laws including:

- California Consumer Privacy Act (CCPA)

7.3 Data Processing
When we process personal data on your behalf as part of our Services, we act as a Data Processor and you act as the Data Controller. Our data processing obligations are detailed in our Data Processing Agreement, which forms part of our service contracts.
7.4 Data Security
We implement appropriate technical and organizational measures to protect personal data, including:
- AES-256 encryption for data at rest and TLS 1.3 for data in transit
- Multi-factor authentication and role-based access controls
- Regular security assessments and penetration testing
- Comprehensive logging and monitoring systems
- Incident response and breach notification procedures
8. Payment Terms and Fees
8.1 Service Fees
Fees for our Services are specified in separate Service Agreements, Statements of Work, or invoices. All fees are quoted and payable in United States Dollars (USD) unless otherwise specified.
8.2 Payment Terms
- Payment Due: Unless otherwise specified, payment is due within thirty (30) days of invoice date
- Payment Methods: We accept bank transfers, wire transfers, and ACH payments. Credit card payments may be subject to a 3% processing fee
- Late Payments: Overdue amounts will accrue interest at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower
- Currency: All payments must be made in the currency specified in the invoice
8.3 Taxes
All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including VAT, GST, sales tax, or use tax. You are responsible for paying all such taxes except those based on our net income.
8.4 Refund Policy
Except as specifically provided in your Service Agreement or as required by law:
- All payments are non-refundable
- No refunds will be provided for partially used subscription periods
- Setup fees, consulting fees, and completed work are non-refundable
- Refund requests must be submitted in writing within 14 days of service delivery for consideration
9. Service Levels and Performance
9.1 Service Level Commitments
Where applicable, specific service level agreements (SLAs) will be outlined in your Service Agreement. General service commitments include:
- Response Times: Email inquiries responded to within four (4) business hours during business days (Monday-Friday, 9 AM - 6 PM IST)
- System Uptime: 99.5% monthly uptime for Vixilead-managed systems (excluding scheduled maintenance)
- Report Delivery: Performance reports delivered within five (5) business days of scheduled date
9.2 Performance Disclaimers
IMPORTANT: Marketing and lead generation results depend on numerous factors beyond our control. We do not guarantee:
- Specific numbers of leads, conversions, or sales
- Particular search engine rankings or positions
- Specific return on investment (ROI) or revenue outcomes
- Guaranteed delivery rates for email campaigns
- Third-party platform performance (Google Ads, social media platforms, etc.)
All performance projections and estimates are based on historical data and industry benchmarks but are not guarantees of future results.
10. Third-Party Services and Links
10.1 Third-Party Platforms
Our Services may integrate with or require use of third-party platforms including but not limited to Google Ads, Meta (Facebook/Instagram) Business Suite, LinkedIn Marketing Solutions, CRM platforms (HubSpot, Salesforce, Zoho), and email service providers. Your use of such third-party platforms is subject to their respective terms and conditions. We are not responsible for the availability, functionality, or policies of third-party services.
10.2 Client Obligations
You are responsible for maintaining active accounts with necessary third-party platforms, providing appropriate access credentials, ensuring compliance with third-party terms, and paying all fees directly to third-party service providers.
11. Warranties and Disclaimers
11.1 Limited Warranty
We warrant that our Services will be performed in a professional manner consistent with industry standards. This warranty is valid for thirty (30) days from service delivery. Your exclusive remedy for breach of this warranty is re-performance of the deficient services at no additional charge.
11.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED ABOVE, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
12. Limitation of Liability
EXCEPT FOR BREACHES OF CONFIDENTIALITY OR DATA PROTECTION OBLIGATIONS, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT, WITH A MINIMUM CAP OF USD $50,000.
IN NO EVENT SHALL VIXILEAD BE LIABLE FOR:
- LOSS OF PROFITS OR REVENUE
- LOSS OF BUSINESS OPPORTUNITIES
- LOSS OF DATA OR INFORMATION
- BUSINESS INTERRUPTION
- COST OF SUBSTITUTE SERVICES
13. Indemnification
13.1 Client Indemnification
You agree to indemnify, defend, and hold harmless Vixilead from claims arising from your violation of these Terms, violation of any law, violation of third-party rights, content you provide, or your use of our Services.
13.2 Vixilead Indemnification
We agree to indemnify you from claims that our Services infringe third-party intellectual property rights, provided you promptly notify us, grant us control of the defense, and provide reasonable cooperation.
14. Term and Termination
These Terms remain in effect while you use our Services. You may terminate with sixty (60) days written notice. We may terminate immediately for breach, non-payment, or if continuing Services becomes unlawful. Upon termination, you must pay all outstanding fees, and we will return or destroy your data within thirty (30) days.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of India. Disputes shall first be resolved through good faith negotiations for thirty (30) days. If unresolved, disputes shall be settled through binding arbitration in Gurugram, Haryana, India. Emergency injunctive relief may be sought in courts of competent jurisdiction for confidentiality or intellectual property breaches.
CLASS ACTION WAIVER: You agree that disputes will be resolved individually and not as a class action.
16. General Provisions
These Terms, together with our Privacy Policy and Service Agreements, constitute the entire agreement. We may modify these Terms at any time by posting updates on our website. If any provision is invalid, the remainder remains in effect. We may assign these Terms; you may not without our consent. Electronic signatures are valid and binding.

18. Acknowledgment
BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
If you do not agree to these Terms, you must immediately cease all use of our Services.
