The actual services, deliverables, responsibilities, timelines, fees, assumptions, and dependencies will be determined by the applicable written agreement. ## 3. Custom Scope and Service Agreements VIXILEAD does not assume that every business requires the same services or level of execution. Where applicable, VIXILEAD may assess the client's objectives, requirements, existing systems, priorities, and business needs before services are provided. The applicable proposal, SOW, Service Agreement, order, or other written commercial document may define: - Services and deliverables - Project or engagement scope - Fees and payment schedule - Timelines and milestones - Client responsibilities - Third-party costs - Approval and revision requirements - Termination provisions - Service-specific terms If there is a conflict between these Terms and a signed written agreement for a specific engagement, the signed agreement will control to the extent of that conflict. ## 4. Eligibility and Authority You must have the legal capacity required under applicable law to enter into an agreement with VIXILEAD. If you use the Website or engage VIXILEAD on behalf of a company, organization, or other entity, you represent that you have the authority to act on behalf of that entity where such authority is required. ## 5. Client Responsibilities Clients are responsible for providing accurate, complete, and timely information, materials, access, approvals, and decisions reasonably required for VIXILEAD to perform the agreed services. Depending on the engagement, the client may also be responsible for: - Providing accurate business, product, service, and customer information - Providing required access to relevant platforms or systems - Reviewing and approving materials within agreed timelines - Ensuring that information, content, data, and materials supplied to VIXILEAD may lawfully be used - Maintaining accounts with third-party platforms where required - Paying third-party platform, advertising, software, media, or other external costs where those costs are not included in VIXILEAD's fees - Ensuring that its own activities comply with applicable laws and third-party platform terms Delays caused by missing information, access, approvals, or other client dependencies may affect project timelines and deliverables. ## 6. Intellectual Property ### 6.1 VIXILEAD Materials VIXILEAD retains ownership of its pre-existing materials, processes, methodologies, frameworks, templates, systems, know-how, internal tools, and other intellectual property developed independently of a specific client engagement. Nothing in these Terms transfers ownership of VIXILEAD's pre-existing intellectual property unless a separate written agreement expressly provides otherwise. ### 6.2 Client Materials The client retains ownership of materials, information, content, trademarks, data, and other intellectual property supplied by the client to VIXILEAD, subject to the rights necessary for VIXILEAD to perform the agreed services. By providing materials to VIXILEAD, the client grants VIXILEAD the necessary permission to use, reproduce, modify, process, and display those materials solely as reasonably required to provide the agreed services. ### 6.3 Client Deliverables Ownership or licensing of deliverables created specifically for a client will be determined by the applicable proposal, SOW, or Service Agreement. Unless otherwise agreed in writing, transfer of ownership of a deliverable that is subject to transfer will occur only after all applicable fees relating to that deliverable have been paid in full. ## 7. Acceptable Use You agree not to use the Website or VIXILEAD's services to: - Violate applicable law or regulation - Infringe intellectual property, privacy, or other rights of another person or organization - Transmit malicious code, malware, or harmful software - Attempt unauthorized access to systems, accounts, or data - Misrepresent your identity, authority, or affiliation - Use VIXILEAD's services for fraudulent, deceptive, unlawful, or harmful purposes - Interfere with the security, operation, or availability of the Website or related systems - Use automated scraping or data collection against the Website without authorization VIXILEAD may suspend or restrict access where reasonably necessary to protect its systems, users, clients, rights, or legal interests, subject to applicable law. ## 8. Lead Generation and Marketing Activities Where VIXILEAD provides lead generation, prospecting, outreach, advertising, SEO, content, or other marketing services, results depend on factors that may be outside VIXILEAD's control. VIXILEAD does not guarantee: - A specific number of leads, meetings, opportunities, customers, or sales - A specific revenue amount or return on investment - Specific search engine rankings - Specific advertising performance - Specific email delivery or response rates - Specific conversion rates - Continued availability or performance of third-party platforms Any projections, estimates, benchmarks, forecasts, or performance expectations discussed during an engagement are estimates only unless expressly stated otherwise in a signed written agreement. ## 9. Third-Party Platforms and Services VIXILEAD may use or integrate with third-party platforms and services as required by an engagement. These may include CRM, analytics, advertising, communication, hosting, automation, payment, or other technology providers. Third-party services are governed by their own terms, policies, availability, and technical limitations. VIXILEAD is not responsible for changes, outages, restrictions, suspension, or discontinuation of third-party services outside VIXILEAD's reasonable control. Where a client is required to maintain a third-party account, the client remains responsible for that account and for complying with the applicable third-party provider's terms. ## 10. Fees and Payment Fees for VIXILEAD services are determined according to the applicable proposal, SOW, Service Agreement, invoice, or other written commercial agreement. Payment methods may include PayPal, Wise, or direct bank transfer, depending on the client, engagement, and applicable payment arrangement. Unless otherwise specified in the applicable written agreement, payment timing, deposits, milestones, recurring fees, taxes, third-party costs, and any applicable refund or cancellation terms will be determined by the relevant commercial agreement or invoice. VIXILEAD may suspend work or access to services where undisputed amounts remain unpaid after applicable payment terms have been exceeded. ## 11. Taxes Unless otherwise stated in a written agreement, the client is responsible for applicable taxes, duties, levies, or governmental charges associated with the purchase of services, except taxes imposed directly on VIXILEAD's net income, to the extent permitted by applicable law. ## 12. Confidentiality VIXILEAD will treat confidential information received from a client as confidential and will use it only as reasonably necessary to provide the agreed services, subject to applicable law and the relevant Service Agreement. Where appropriate, confidentiality obligations may also be governed by a separate NDA or confidentiality provision in the applicable Service Agreement. ## 13. Where VIXILEAD processes personal information on behalf of a client, the parties may enter into additional data-processing terms where required by applicable law or the nature of the engagement. Artificial Intelligence and Automation VIXILEAD may use artificial intelligence, machine learning, automation, data analysis, and related technologies in providing certain services. These technologies may support activities such as research, analysis, prospect or account research, personalization, content research, workflow automation, reporting, and other business processes. The specific technologies used for an engagement may vary according to the scope and requirements of the service. Where VIXILEAD uses third-party technology providers to process information, such processing will be subject to applicable contractual restrictions, configured data-use controls, and applicable law. ## 15. Disclaimer of Warranties To the maximum extent permitted by applicable law, the Website and general information provided through it are provided on an "as is" and "as available" basis. VIXILEAD does not warrant that the Website or any information available through it will always be complete, current, uninterrupted, secure, or error-free. Specific service warranties, if any, will be stated in the applicable written Service Agreement. For a specific client engagement, any agreed limitation or allocation of liability will be governed by the applicable signed Service Agreement or SOW. Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law. ## 17. Indemnification To the extent permitted by applicable law, you agree to indemnify and hold VIXILEAD harmless from third-party claims, losses, liabilities, damages, and reasonable expenses arising directly from: - Your material breach of these Terms or an applicable written agreement - Your unlawful use of the Website or services - Your infringement of another person's or organization's rights - Materials, information, data, or instructions supplied by you that infringe third-party rights or are unlawful Any additional indemnification obligations applicable to a client engagement will be governed by the relevant written Service Agreement. Nothing in this section requires indemnification to the extent that doing so would be prohibited by applicable law. ## 18. Termination and Suspension The termination of a specific client engagement will be governed by the applicable proposal, SOW, Service Agreement, or other written agreement. VIXILEAD may suspend or restrict access to the Website or services where reasonably necessary because of unlawful activity, security concerns, material breach, non-payment, or other circumstances permitted by applicable law. Termination does not eliminate obligations that by their nature should continue after termination, including applicable payment obligations, confidentiality obligations, intellectual-property provisions, disclaimers, and liability provisions. ## 19. Governing Law and Disputes These Terms are governed by the laws of India, subject to applicable mandatory legal requirements. Any dispute relating specifically to these Website Terms will be subject to the jurisdiction of courts having appropriate jurisdiction in India, subject to applicable law. For client engagements, dispute-resolution procedures, arbitration, venue, jurisdiction, and related provisions may be specified separately in the applicable Service Agreement. Nothing in these Terms prevents either party from seeking any remedy that cannot lawfully be excluded or restricted. ## 20. Changes to These Terms VIXILEAD may update these Terms from time to time to reflect changes to the Website, services, business practices, or applicable legal requirements. For an existing client engagement, changes to these Website Terms will not automatically modify a separately signed agreement unless that agreement expressly provides otherwise. ## 21. General Provisions If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable written Service Agreement, constitute the relevant framework governing your use of the Website and your relationship with VIXILEAD, subject to the priority rules stated in these Terms and the applicable written agreement.
